1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern your use of VCL (Virtual Compliance Log), a web-based compliance management system ("Service") provided by Steven UK ("we", "us", or "our").

By accessing or using VCL, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Who Can Use VCL:

• You must be at least 18 years old
• You must have authority to bind your business to these Terms
• You must use VCL for lawful business purposes only

2. Service Description

2.1 What VCL Provides

VCL is a multi-tenant SaaS platform that provides:

• Compliance task management and tracking
• User and role management
• Task completion logging with signatures and/or photos
• Automated reporting and PDF generation
• Device registration and access control
• Holiday hours poster generation
• Optional Google Business Profile integration
• Optional Amazon Alexa Notification integration

2.2 What VCL Does NOT Provide

3. Account Registration and Access

3.1 Account Security

You are responsible for:

• Providing accurate business information
• Maintaining confidentiality of login credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access

3.2 Device Registration

If you enable device registration:

• Only registered devices can access VCL
• You control which devices are authorized
• Lost or stolen devices must be deregistered immediately

4. Subscription and Payment

4.1 Payment Terms

• Subscriptions are billed monthly or annually in advance
• Payment is due on the date specified in your invoice
• All fees are non-refundable except as required by law
• Prices are subject to change with 30 days' notice

4.2 Late Payment

If payment is not received:

• We may suspend access after 7 days
• Account may be terminated after 30 days of non-payment
• Your data will be retained during suspension

5. Your Data and Content

5.1 Your Ownership

You retain all ownership rights to the data and content you upload to VCL ("Your Content").

5.2 License to Us

By uploading Your Content, you grant us a limited license to:

• Store and process Your Content to provide the Service
• Display Your Content to authorized users in your business
• Create backups of Your Content
• Generate reports and PDFs from Your Content

This license ends when you delete Your Content or close your account.

5.3 Prohibited Content

You must not upload content that:

• Violates any law or regulation
• Infringes intellectual property rights
• Contains malware or harmful code
• Harasses, threatens, or harms others

6. Acceptable Use

6.2 Prohibited Activities

You must not:

• Attempt to reverse engineer, decompile, or hack VCL
• Use VCL to store or transmit malicious code
• Interfere with or disrupt VCL's operation
• Share your account credentials with unauthorized users
• Resell or sublicense VCL without authorization
• Use VCL for illegal activities

7. Service Availability and Support

We aim to provide VCL 24/7/365, but we do not guarantee uninterrupted access.

8. Data Security and Backups

8.1 Backups

We perform automated daily backups:

• Backups are retained for 30 days
• Backups are for disaster recovery purposes

9. Limitation of Liability

9.1 Limitation of Damages

To the maximum extent permitted by law:

• We are not liable for any indirect, incidental, or consequential damages
• Our total liability is limited to the fees you paid in the 12 months before the claim

9.2 Compliance Responsibility

10. Termination

10.1 Termination by You

You may cancel your VCL subscription at any time:

• Cancellation takes effect at the end of your current billing period
• No refunds for partial months/years

10.2 Effects of Termination

Upon termination:

• Your access to VCL ends immediately
• You have 90 days to export Your Content
• After 90 days, we may permanently delete Your Content

11. General Provisions

11.1 Governing Law

These Terms are governed by the laws of [England and Wales.

11.2 Changes to Terms

We may modify these Terms with 30 days' notice. Continued use after changes constitutes acceptance.
